End-user license agreement

Who this agreement binds
This agreement is between your business (the “customer”) and APIgoat, based in Quebec City, Quebec, Canada, which provides Smarties. It applies as soon as you create an account, connect a tool or use Smarties. The person accepting it confirms they have authority to bind the business.
If your signed quote or order says otherwise, it prevails over this agreement.
The license
For the length of your subscription, APIgoat grants you a non-exclusive, non-transferable, revocable license to use Smarties for your business’s internal purposes, by your employees and the people you authorize, within the limits of your plan.
Smarties, its code, agent templates and brand remain APIgoat’s property. You may not copy, resell or decompile it, or use it to build a competing product.
Your data stays yours
The emails, documents, records and content you connect, and what your agents produce, belong to you. You grant us only the right to process them to provide the service, as described in the privacy policy.
Acceptable use
You agree to:
- connect only tools and data you have the right to use, and follow those tools’ own terms;
- comply with the laws that apply, including Quebec’s Law 25, Canada’s Anti-Spam Legislation and the rules of your professional order;
- not use Smarties to send unsolicited messages, commit fraud, harass anyone or get around a system’s security;
- keep your credentials confidential and tell us promptly about any unauthorized access.
AI agents and your approvals
Agents prepare work using a language model. Their proposals can be incomplete or wrong. That is why sensitive actions wait for your approval: by approving, you own the decision. Smarties does not give accounting, tax or legal advice; professional judgment remains yours.
The approval rules are yours. If you choose to let an agent act without approval, you accept the results.
Third-party tools
Connectors (for example Microsoft 365, Gmail, SharePoint, Shopify, RingCentral, Twilio) depend on services we do not control. Their changes, outages or fees are not APIgoat’s responsibility, and naming a tool is not an endorsement of it.
Subscription and payment
Plans, options and setup fees are described on the Pricing page. The subscription is billed monthly in advance, taxes extra, and renews month to month until either party ends it in writing. An overdue account may be suspended after notice. See pricing.
Ending the subscription
You can end the subscription at any time; it ends at the close of the paid month. We may end or suspend it for a serious breach of this agreement. After it ends, you have 30 days to export your data; it is then deleted according to the privacy policy.
Warranty
We provide Smarties with the care of a competent professional and fix defects you report. Beyond that, the service is provided as is: we do not warrant uninterrupted operation, the accuracy of a language model’s answers, or any particular business result. Nothing here sets aside warranties the law does not allow to be excluded.
Limitation of liability
APIgoat’s total liability, on any basis, is limited to the amounts paid for Smarties in the 12 months before the claim. APIgoat is not liable for indirect damage, lost profit, revenue or data, or business interruption. This limit does not apply to gross or intentional fault, or to anything the law does not allow to be limited.
Governing law
This agreement is governed by the laws of Quebec and the federal laws of Canada that apply there. Any dispute goes before the courts of the judicial district of Quebec City, after a genuine attempt to settle it directly.
Changes
This agreement may change; the date at the top shows the last update. We notify you by email at least 30 days before a material change. Continuing to use Smarties after that date means you accept it.
